The Russian oil giant has handed Novatek a 40% stake in Arctic Russia BV in return for its compatriot's 51% holding in Sibneftegas.
With Rosneft already holding a substantial share of Sibneftegas, the transaction takes its holding to 99.94%.
There is no cash element to the swap deal that was agreed on Friday and has already been approved by Rosneft's board.
