Under the terms of the proposed all-stock deal, current Harmony stockholders will own about 13.4% of the combined company following the merger.
The two companies have also agreed to allow strategic partners to invest in the combined company prior the deal’s close.
NextDecade’s principal equity holders include funds managed by York Capital Management, Valinor Management, and Halcyon Capital Management. Together, the entities own a majority interest in NextDecade.
