The pair struck a non-binding provisional agreement last month and on Thursday Amec confirmed it had now entered into a definitive agreement with Foster Wheeler.
Under the agreement Amec is offering 0.8998 of its own shares and $16 in cash for each outstanding share of Foster Wheeler common stock.
Based on Amec's closing stock price of £10.92 ($18.16) per share on Wednesday, Foster Wheeler said the deal valued its shares at about $32.69
