Cheniere already owns an 80.1% interest in Cheniere Partners Holdings.
The company has offered 0.505 Cheniere shares for each remaining share of the holdings company. Cheniere will issue around 23.3 million shares of stock.
The deal, which will be structured as a merger of the two entities, values the shares to be acquired at $21.90 each, or a premium of about 3% over the closing price of Cheniere Partners Holdings' shares on Thursday.
