The agreement values the equity of the new company at between $6.25 billion and $5.5 billion based on the average price of natural gas futures over the next year at Henry Hub and eliminates about $1.3 billion in existing debt.
In addition, Ultra will issue a right offering for $580 in new Ultra stock, priced at a 20% discount to the value of the existing shares.
