Under the agreement HRT would sell a 6% stake and hand over operatorship of the companies' Solimoes basin joint venture, giving Rosneft a 51% share and itself 49%.
The companies have also agreed to continue exploration efforts in the basin, and accordingly Rosneft will buy four helicopter-transportable rigs from its partner.
"We are pleased to increase our stake in the promising Solimoes project and hope to continue the fruitful and mutually beneficial cooperation with our partners from HRT as part of this project implementation," Rosneft president Igor Sechin said in a statement.
