Xstate will gain the interest by acquiring 100% of privately-owned Blue Sky Langsa which currently holds the TAC.
If the deal goes ahead, Xstate will issue nearly 459.6 million new shares to Blue Sky shareholders.
As a result, Blue Sky shareholders would own 82% of Xstate and Blue Sky would be eligible to nominate two directors to the board of Xstate.
