The pair have signed a heads of agreement that they will void the two contracts by 29 June and Zaza has retained Jefferies to help look for another joint venture partner for both its Eagle Ford and Woodbine assets.
Under the terms of the deal, Zaza will receive $15 million cash immediately and another $70 million when the contracts are voided formally.
