Under the plan of arrangement all issued and common outstanding shares of Touchstone will be exchanged for Petrobank shares for an exchange rate of 0.471 based on the two companies’ trading prices at closing on 5 March.
Retaining the name Touchstone Exploration, the new company will execute an expanded capital programme in Trinidad to accelerate development of its 18,000-acre onshore oil-resource base.
